1. About These Terms

These Terms of Service ("Terms") govern your access to and use of quartz.solutions, including the Asset Data Readiness Scorecard and related site features. Quartz Consulting Group is the business name used by Network Transformation Partners, Inc., a California corporation ("NTP," "we," "us," or "our"), located at 5318 E. 2nd St. Unit 609, Long Beach, CA 90803.

These Terms apply to the public website and its free self-assessment and lead-capture features. Consulting, assessment, implementation, training, and other professional services are governed by the signed Statement of Work or Professional Services Agreement for those services. Quartz Insights, our separate software platform, is governed by its own terms at quartzinsights.io/terms.

2. Eligibility and Acceptance

You must be at least 18 years old and authorized to act for yourself or your organization to use the site. By accessing or using the site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the site. If you accept these Terms for an organization, you represent that you have authority to bind that organization.

3. Permitted Use

The site is a marketing, informational, and self-assessment resource for facilities asset-management strategy, implementation, and intelligence. You may use the site only for lawful business or personal evaluation purposes and in compliance with applicable law.

You may not:

• Use the site to violate law, regulation, contract, or another person's rights.
• Interfere with the site, attempt unauthorized access, introduce malicious code, or bypass security controls.
• Scrape, crawl, reverse engineer, reproduce, resell, or commercially exploit the site or Scorecard methodology without written permission.
• Submit information that is unlawful, fraudulent, malicious, infringing, or knowingly inaccurate.
• Submit confidential, regulated, or security-sensitive facility information through a public form.

4. Asset Data Readiness Scorecard

The Scorecard is a general self-assessment tool. It is not an audit, inspection, certification, attestation, software-readiness determination, compliance opinion, engineering analysis, or professional advice. Scores, bands, recommendations, and emailed reports are illustrative outputs based on the information entered and may not reflect your complete circumstances.

You are responsible for reviewing outputs and making decisions appropriate for your organization. Do not rely on the Scorecard as a substitute for qualified professional advice, independent verification, or a formal assessment.

5. Submissions and Communications

If you submit a contact inquiry, request Scorecard results, or schedule a Readiness Review, you agree to provide information that is accurate to the best of your knowledge and to update it if it materially changes. We may use and disclose submitted information as described in our Privacy Policy. Submission of information does not create a client, advisory, fiduciary, agency, employment, or other relationship unless we separately agree in writing.

The site is not a secure document-transfer service. Do not submit trade secrets, protected health information, payment-card data, credentials, or other confidential materials through a public form.

6. Scheduling and Third-Party Services

Readiness Review scheduling is provided through Google Calendar appointment scheduling. Your use of that scheduling flow may be subject to Google's separate terms and privacy policy. The site may also link to other third-party sites and services. NTP does not control and is not responsible for third-party content, availability, security, or privacy practices.

7. No Professional Advice

Nothing on the site—including content, Scorecard questions, scores, recommendations, reports, or communications—constitutes legal, financial, tax, engineering, regulatory, architectural, safety, cybersecurity, or other professional advice. Any professional services we provide are governed only by the applicable signed agreement.

8. Intellectual Property

The site and its content, including text, graphics, logos, trademarks, software, Scorecard questions and methodology, and the Verify/Reconcile/Identify/Keep Current framework, are owned by NTP or its licensors and are protected by applicable intellectual property laws. Quartz Consulting Group, Network Transformation Partners, Quartz Insights, and related names and marks are used by their respective owners.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the site for its intended purposes. Except for that limited right, no license or ownership interest is granted. You may not reproduce, modify, distribute, publicly display, create derivative works from, or commercially exploit site content or the Scorecard methodology without our prior written permission.

9. Availability and Changes

We may modify, suspend, or discontinue all or part of the site or any feature at any time, with or without notice. We do not guarantee that the site will be available, uninterrupted, secure, or error-free. We may update these Terms from time to time by posting an updated version and changing the Last updated date. Your continued use after an update means you accept the revised Terms. If a material change requires additional notice under applicable law, we will provide that notice.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, ITS CONTENT, THE SCORECARD, AND RELATED OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR THAT RESULTS WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NTP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SITE, THE SCORECARD, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NTP'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE, THE SCORECARD, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO NTP SPECIFICALLY FOR ACCESS TO THE SITE OR SCORECARD DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot legally be limited or excluded. They do not limit rights or remedies that applicable law does not permit us to waive.

12. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless NTP and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your unlawful use of the site, violation of these Terms, infringement or violation of another person's rights, or information you submit through the site.

13. Professional Services

Consulting, assessment, implementation, training, FEAM, and other professional services are not provided under these Terms. They require a separate signed Statement of Work or Professional Services Agreement, which controls in the event of a conflict regarding those services.

14. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or the site are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to applicable law, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction and venue, and you and NTP consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking temporary or equitable relief in a court with appropriate jurisdiction.

There is no agreement to arbitrate or waive class actions in these Terms. Any such terms must appear in a separate written agreement signed by the relevant parties.

15. General Terms

If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a business transaction or reorganization. These Terms, together with the Privacy Policy and any applicable written agreement, are the entire agreement concerning the public site and supersede prior understandings about that subject. These Terms do not create third-party beneficiary rights.
